Bill is a tax lawyer who helps clients achieve their goals with tax efficiency. His practice focuses primarily on the federal income tax aspects of M&A, real estate, EC/VC, and tax-credit finance transactions. He advises clients on structuring transactions, negotiating and drafting transactional/organizational documents, and conducting tax diligence.

Bill’s experience includes working with private equity funds, banks, closely held businesses, start-ups, and strategic buyers in middle-market M&A and financing transactions. He also assists real estate developers and investors in joint ventures, multi-family developments, acquisitions and dispositions, and utilization of tax-advantaged structures (e.g., opportunity zones/1400Z-2). He also advises renewable energy developers and banks on various aspects of the Inflation Reduction Act of 2022 and utilization of tax credits.

  • Represented a bank holding company in its $128m merger with another Bank.
  • Represented a wastewater product manufacturer in a $75m sale of a subsidiary to an OEM.
  • Represented a private equity fund in its $50m acquisition of a long-term care provider.
  • Represented a private equity fund in its $42m acquisition of a wood-pallet manufacturer.
  • Represented a label manufacturer in its $80m sale to a strategic buyer.
  • Represented a real estate developer in its $85m sale of a portfolio of self-storage facilities.
  • Represented a REIT in its $95m sale of a portfolio of hotels.
  • Represented a consulting firm in its $40m partial sale to a private equity fund (structured as a JV).
  • Represented a carbon capture technology company in its $45m Series A Financing.
  • Represented a renewable energy developer in a JV with an investor to develop a wind farm.
  • Represented an affordable housing developer in multiple $40m residential developments partially financed through syndication of LIHTCs.

Life Beyond the Law

Outside of work, Bill enjoys playing golf, hiking in Shenandoah National Park, and exploring DC concert venues/discovering new bands with his wife, and actively serving in his church.
