Amy has a broad-based transactional practice with a focus on mergers and acquisitions, joint ventures, private equity, and venture capital.

In addition to her transactional work, Amy advises clients on matters such as capital rounds and financing to achieve their growth objectives, equity incentive arrangements to attract and retain key management, employment agreements, services and consulting contracts, and intellectual property licensing. For a number of clients, her role takes on that of outside general counsel providing day-to-day corporate counseling.  She also represents a number of family offices in their investments. She was elected partner in 2011.

Client Work

Amy has counseled clients in a wide variety of industries, including technology, media, communications, real estate development, wine, sports and entertainment, medical practices, cryptocurrency, and aerospace. While her practice primarily focuses on middle market companies, she has represented clients in all growth stages, ranging from startups to multibillion dollar companies.

Recent representative transactions include:

  • the sale of Snapfish to Apollo,
  • the sale of Kenwood Vineyards to Pernod Ricard, 
  • the sale of Chesapeake Eye Care to Centre Partners,
  • the sale of Rapid Advance to Rockbridge Growth Equity,
  • the sale of Miraval Resort to KSL, 
  • the sale of Bisnow Media to Wicks Capital, 
  • the acquisition of Whistle Labs by a Fortune 100 company, and
  • the sale of ARPC to Madison Dearborn Partners.  

Amy is also active in the field of professional sports, representing the Tampa Bay Rays baseball team for more than 15 years. She also represented the ownership group in the sale of the Charlotte Bobcats to Michael Jordan and has represented investors in the Memphis Grizzlies and Atlanta Hawks.

Life Beyond the Law

Beyond the law, Amy enjoys spending time with her husband and son boating on the eastern shore of Maryland, traveling, and skiing. She supports a number of charitable organizations throughout the Washington, DC community, including the National Women’s History Museum, Children’s National Hospital, and the National Portrait Gallery.
